This Data Processing Agreement ("DPA") forms part of the agreement between Clearform ("Processor") and the customer ("Controller") where Clearform processes personal data on behalf of the customer in connection with the Clearform service.
1. Purpose
The purpose of this DPA is to establish the responsibilities of Clearform and the customer regarding personal data processed through the Clearform platform.
2. Roles
The customer determines the purpose and manner in which respondent information is collected through its forms.
Clearform processes such information to provide the services requested by the customer.
The exact legal roles of the parties should be confirmed based on the specific processing arrangement and applicable law.
3. Processing Instructions
Clearform will process personal data only as reasonably necessary to provide the Clearform service and in accordance with the customer's documented instructions, subject to applicable law.
4. Types of Data
Depending on the customer's use of Clearform, processed information may include:
• Names
• Email addresses
• Contact information
• Survey responses
• Feedback
• Application information
• Customer information
• Research information
• Other information entered into forms by respondents
The customer is responsible for determining what information it collects.
5. Security
Clearform will maintain reasonable technical and organizational measures designed to protect personal data against unauthorized access, loss, misuse, alteration, or disclosure.
6. Confidentiality
Clearform personnel and authorized service providers who have access to customer data should be subject to appropriate confidentiality obligations.
7. Subprocessors
Clearform may use third-party service providers to provide hosting, infrastructure, AI processing, analytics, payments, communications, security, and other services.
Applicable subprocessors should be identified or made available to customers through an appropriate subprocessors list.
8. AI Processing
Where AI functionality is enabled, information may be processed by Clearform and approved AI service providers to provide response-quality guidance, contextual follow-ups, analysis, or insights.
The applicable AI providers and processing arrangements should be disclosed as required.
9. Data Subject Requests
Where legally applicable, Clearform will provide reasonable assistance to the customer in responding to requests concerning personal data processed through the service.
10. Data Breaches
Clearform will maintain procedures for identifying and responding to security incidents.
Where required by applicable law or agreement, Clearform will notify the customer of relevant personaldata incidents within an appropriate timeframe.
11. Data Retention and Deletion
Personal data will be retained according to the customer's instructions, Clearform's applicable retention policies, and legal requirements.
Upon termination of the applicable service, Clearform will handle customer data according to the agreed deletion, return, retention, and legal requirements.
12. Customer Responsibilities
The customer is responsible for:
• Determining the purpose of collecting respondent data.
• Providing appropriate notices to respondents.
• Obtaining required consent or other lawful authorization where applicable.
• Ensuring that the information collected through Clearform is appropriate for the stated purpose.
• Providing Clearform with lawful processing instructions.
13. International Transfers
Where personal data is transferred across jurisdictions, the parties will comply with applicable legal requirements governing such transfers.
14. Audit and Compliance
Where required by applicable law or contract, Clearform may provide reasonable information necessary to demonstrate compliance with applicable data-processing obligations.
15. Termination
This DPA remains effective for the period during which Clearform processes personal data on behalf of the customer.
